Terms of Service

These Terms of Service (“Terms”) are a legally binding agreement between you and Cognia governing your use of the Cognia AI study assistant platform at app.cognia.com.au (the “Service”). By creating an account or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.

1. The Service

Cognia is an AI-powered study platform that provides:

  • AI chatbot for study questions and learning assistance
  • Note creation, formatting, and AI-powered enhancement
  • Flashcard generation and spaced repetition study tools
  • Lecture recording, transcription, and note extraction
  • Knowledge base document upload and retrieval-augmented generation
  • AI-generated examinations and practice tests
  • Study planning and scheduling tools

2. Eligibility and Accounts

  • You must be at least 16 years old to use Cognia. Users aged 16–18 should have parental or guardian consent.
  • You are responsible for maintaining the confidentiality of your account credentials and for all activity under your account.
  • You must provide accurate and current information when creating your account.
  • One person may not create or maintain multiple free accounts to circumvent usage limits.
  • You must notify us promptly if you become aware of any unauthorised use of your account.

3. Subscription Plans and Billing

Free Plan

The free plan provides limited access with daily message caps and limits on note generations, lecture transcriptions, flashcard generations, knowledge base uploads, and image generations. Free plan features and limits may be changed at any time without notice.

Paid Plans (Pro and Max)

  • Paid plans are billed on a recurring monthly or annual basis via Stripe.
  • By subscribing, you authorise us to charge your payment method at the start of each billing cycle.
  • Student pricing is applied automatically based on your email domain (e.g., .edu, .edu.au, .ac.uk). We do not verify actual student enrolment. We reserve the right to revoke student pricing at our discretion.
  • Paid plans use cost-based daily and weekly usage limits rather than feature count limits. These limits may be adjusted with 30 days' notice.
  • You may cancel your subscription at any time. Cancellation takes effect at the end of your current billing period. No prorated refunds are provided for partial billing periods.

Refund Policy

  • Annual subscriptions: You may request a full refund within 14 days of initial purchase if you have not used the service substantially.
  • Monthly subscriptions: No refunds for partial months. You retain access until the end of your billing period.
  • Billing errors: If you are charged incorrectly, contact us within 30 days for a correction.
  • Refund requests should be sent to admin@cognia.com.au.

Price Changes

We may change subscription pricing with at least 30 days' advance notice via email. Price changes will apply at the start of your next billing cycle after the notice period. If you do not agree to the new pricing, you may cancel before it takes effect.

Promotional Codes

Promotional codes may be issued at our sole discretion. We reserve the right to revoke promotional access at any time for any reason. Promotional codes are non-transferable, limited to one redemption per account, and may have usage caps or expiry dates. Misuse of promotional codes (including sharing publicly without authorisation) may result in account suspension.

4. Acceptable Use

You agree not to:

  • Use the Service for any unlawful purpose or in violation of any applicable law
  • Attempt to circumvent usage limits, rate limits, authentication, or subscription restrictions through any means
  • Share your account credentials with others or allow others to access your account
  • Upload malicious files, viruses, or content designed to exploit or disrupt the Service
  • Upload copyrighted material that you do not have the right to use (e.g., pirated textbooks, copyrighted course materials you did not create or have a licence to)
  • Use the Service to generate content that is harmful, abusive, defamatory, or violates the rights of others
  • Reverse-engineer, decompile, scrape, or programmatically access the Service outside of normal use
  • Resell, redistribute, or sublicence access to the Service
  • Interfere with or disrupt the Service or its infrastructure

5. Academic Integrity

Cognia is a study aid, not a tool for academic dishonesty.

  • AI-generated content (notes, flashcards, chat responses, exam answers) is intended to help you learn and study, not to be submitted as your own original work.
  • Submitting AI-generated content as your own work may violate your institution's academic integrity policy and could result in serious academic consequences.
  • You are solely responsible for complying with your institution's academic integrity requirements.
  • Cognia is not liable for any academic penalties, disciplinary actions, or other consequences arising from your use or misuse of AI-generated content.

6. Your Content

  • Ownership: You retain full ownership of all content you create or upload to Cognia (notes, flashcards, lectures, documents, chat messages).
  • Licence to us: By using the Service, you grant us a limited, non-exclusive, worldwide licence to store, process, transmit, and display your content solely as necessary to provide and improve the Service. This includes sending your content to third-party AI providers for processing. This licence ends when you delete your content or close your account.
  • Responsibility: You are solely responsible for the content you upload. You represent that you have the necessary rights to upload and use all content you provide to the Service.
  • Deletion: You can delete your content at any time through the application. Deleted content is permanently removed from our active database systems.
  • Sharing: If you share notes with other users, they can view or edit the shared content according to the permissions you set. You are responsible for managing sharing permissions.

7. AI-Generated Content

  • AI responses, generated notes, flashcards, transcriptions, examinations, and other AI-produced content are provided “as is” without any warranty of accuracy, completeness, or fitness for purpose.
  • AI models may produce incorrect, incomplete, misleading, or biased information. You must independently verify AI-generated content before relying on it for any important purpose.
  • We do not guarantee that AI-generated content is free from errors, factual inaccuracies, or biases.
  • You assume all risk associated with your use of AI-generated content, including in academic, professional, or personal contexts.

8. Indemnification

You agree to indemnify and hold harmless Cognia, its operators, and its affiliates from any claims, damages, losses, or expenses (including reasonable legal fees) arising from:

  • Your violation of these Terms
  • Your use or misuse of the Service
  • Content you upload that infringes on the rights of any third party
  • Your violation of any applicable law or regulation
  • Any academic integrity violations or disciplinary actions resulting from your use of the Service

9. Intellectual Property

The Cognia platform — including its design, code, branding, logos, user interface, and proprietary features — is our intellectual property. You may not copy, modify, distribute, sell, or create derivative works of any part of the platform without our prior written consent. All rights not expressly granted in these Terms are reserved.

10. Service Availability

  • We strive to maintain reliable service but do not guarantee uninterrupted or error-free operation.
  • The Service may be temporarily unavailable due to scheduled maintenance, updates, or unforeseeable circumstances.
  • AI model availability depends on third-party providers (OpenAI, Anthropic, Google, xAI) and may change, degrade, or become unavailable without notice.
  • We reserve the right to modify, suspend, or discontinue any feature of the Service at any time.

11. Force Majeure

We are not liable for any failure or delay in performing our obligations where such failure or delay results from circumstances beyond our reasonable control, including but not limited to: natural disasters, acts of government, internet or infrastructure failures, third-party provider outages, cyberattacks, or pandemics.

12. Limitation of Liability

To the maximum extent permitted by Australian law:

  • The Service is provided “as is” and “as available” without warranties of any kind, whether express, implied, or statutory, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement.
  • We are not liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of data, loss of profits, academic consequences, or damage to reputation.
  • Our total aggregate liability for any and all claims arising out of or related to the Service or these Terms is limited to the greater of: (a) the amount you paid us in the 12 months immediately preceding the claim, or (b) AUD $50.
  • Nothing in these Terms excludes or limits any liability that cannot be excluded or limited under Australian Consumer Law.

13. Dispute Resolution

  • Informal resolution: Before initiating any formal proceedings, you agree to contact us at admin@cognia.com.au and attempt to resolve the dispute informally for at least 30 days.
  • Governing law: These Terms are governed by the laws of the State of Victoria, Australia.
  • Jurisdiction: Any disputes not resolved informally will be subject to the exclusive jurisdiction of the courts of Victoria, Australia.
  • Australian Consumer Law: Nothing in these Terms is intended to exclude, restrict, or modify any rights you may have under the Australian Consumer Law (Schedule 2 of the Competition and Consumer Act 2010) that cannot be excluded, restricted, or modified by agreement.

14. Account Termination

  • You can request closure of your account at any time by contacting admin@cognia.com.au.
  • We reserve the right to suspend or terminate accounts that violate these Terms, with or without notice depending on the severity of the violation.
  • Upon termination, your access to the Service will cease. Your data will be handled in accordance with our Privacy Policy.
  • Sections 5 (Academic Integrity), 7 (AI-Generated Content), 8 (Indemnification), 12 (Limitation of Liability), and 13 (Dispute Resolution) survive termination of these Terms.

15. Assignment

We may assign or transfer our rights and obligations under these Terms to a third party (for example, in connection with a merger, acquisition, or sale of assets) without your consent, provided that such assignment does not materially reduce your rights. You may not assign your rights or obligations under these Terms without our prior written consent.

16. Severability

If any provision of these Terms is found to be unenforceable or invalid by a court of competent jurisdiction, that provision will be limited or eliminated to the minimum extent necessary, and the remaining provisions will continue in full force and effect.

17. Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Cognia regarding the Service and supersede all prior agreements, understandings, and communications.

18. Changes to These Terms

We may update these Terms from time to time. For material changes, we will provide at least 14 days' notice via email before the changes take effect. Continued use of the Service after the effective date of changes constitutes your acceptance of the updated Terms. If you do not agree to the updated Terms, you should stop using the Service and close your account.
